By using Nature Time products and services and/or installing/ using our webApp, you are agreeing to all the terms herein and that of our privacy policy and that they shall be a legally binding agreement between Nature Time And you. It is your responsibility to regularly check for updates to our Terms of Use. The provision herein as well as our privacy policy shall govern your access to and use of our Services.
Browsing the Website/ web-app or using the Apps without creating a Member Account/ subscribing/ registering, We make certain features and information available to users without creating a registered user Account. Such users are still subject to these Terms and any applicable Supplemental Terms.

You agree to defend, indemnify, and hold harmless Provider, its subsidiaries, and affiliates, and their respective officers, agents, partners, and employees, from and against, any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your Submissions, use of the Service, and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.

The term “you” refers to anyone who uses, visits and/or views the website/ web app/ nature scheduler, RX nature & lifestyle form or anything found on the web app.

REFERRALS

When you participate, listen to, read and be active or passive in any Program/ activity or other from the app, you hereby agree to assume full responsibility for any and all injuries or damage which are sustained or aggravated by you in relation to the Program, release, indemnify, and hold harmless Nature Time or the healthcare providers using the app, its direct and indirect parent, subsidiary affiliate entities, and each of their respective officers, directors, members, employees, representatives and agents, and each of their respective successors and assigns and all others, from any and all responsibility, claims, actions, suits, procedures, costs, expenses, damages, and liabilities to the fullest extent allowed by law arising out of or in any way related to participation in the Programs, and represent that you , have no mental, medical or physical condition that would prevent you from properly participating in any of Naturetime’s Programs/ practices, nor you have not been instructed by a physician to NOT participate in physical exercise or other kind of activity. You acknowledge that if you have any chronic disabilities or serious conditions, you are at risk in using Naturetime web-app and its Programs, and should not be participating in any activities, programs or other found on the app.

IV. APPLICATION OF THESE TERMS AND CONDITIONS
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AS THEY FORM A BINDING AGREEMENT.

4.1 Naturetime LLC. provides Nature Therapy Activities/ programs/ services/ nature scheduler (Programs/Activities), content (“Content”) products and services through our websites/ web app www.naturetimeapp.com (app, desktop website, or mobile applications ( “WebApp), and Naturetime social media accounts (Facebook, Instagram, Linked (“Social Media ”). The services provided by Naturetime whether provided through the Nature Therapy, Web-app Directions/ Suggestions/ Instruction, Sites, Naturetime Social Media Accounts, shall be referred to as the “Services” or “the Services”.
By visiting, browsing, or using the Service in any way, including purchasing Services/ products, using the nature time nature scheduler or other tools, activities or products on the web app, you agree that you have read, understood, and agree to be bound by this Agreement, and to the collection and use of your information as stated in our Privacy Policy, whether or not you are a registered user of our Service. This Agreement applies to all Customers, visitors, users, and others who access the Service and those that access the web-app our Service creates (known as “Users”). If you are not eligible to access or use the Services, or you do not agree to any of these Terms, then you do not have our permission to access or use the Services.
YOU AND NATURETIME AGREE THAT DISPUTES RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION

V. USE OF OUR SERVICES

USERS AND ACCOUNTS

5.1 To use certain Online Services, you may need to create an account. You may also have the option of creating an account in anticipation of making future purchases/donations. We reserve the right to refuse registration for, access to, or use of our Services by any person or household at any time and for any reason.

B. Anyone between 13 and 17 years of age

We want young people to join in and enjoy nature, however Anyone between age thirteen (13) and eighteen (18) may only use the Online Services under the supervision of his/her parent or a legal guardian. IF YOU ARE A PARENT/LEGAL GUARDIAN AND YOU PROVIDE YOUR CONSENT TO YOUR TEENAGER’S ACCESS TO AND USE OF THE ONLINE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.
We take no responsibility of any kind – all responsibility is on you ( parent) and your minor kid (under 18)
The Online Services/ the Nature Time web app are not intended for use by anyone under age 13. YOU MUST BE AT LEAST AGE 13 TO ACCESS AND USE THE ONLINE SERVICES. By accessing, using and/or submitting information to or through the Online Services, / Naturetime web app you represent that you are at least age 13 .

This means that, for example, if your child wants to sign up/ register/ become a subscriber for the Naturetime app – and the child is between 13-18— then the adult must be aware of the Childs action or sign up for the child and be aware of their actions as the parent takes full responsibility of the kids actions. In regards to the rights of children and parents, We want everyone who wishes to use our web-app, to do so, however all must respect and use the web app in compliance.
The Site is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use this Site. You may not use the Site in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site./web-app. If you are a minor, you must have your parent or guardian read and agree to these Terms of Use prior to you using the Site.
Therefore you may use the Service only in compliance with this Agreement and all applicable local, town, state, national, and international laws, rules and regulations. You must be the age of legal majority in your jurisdiction of residence, to purchase Services for your child/children or for them to purchase this service or products. By agreeing to these Terms, you represent and warrant that (1) you are at least 18 years of age (or the age of legal majority in your jurisdiction of residence) (2) if purchasing on behalf of a minor you are (i) the minor participant’s parent/guardian and (ii) you will monitor your child’s use of the Services, (3) you have not previously been suspended or removed from the Services; and (4) your registration and your use of the Service is in compliance with all applicable laws and regulations applicable to you. We might, in our sole discretion, refuse to offer the Services to any person or entity and change the eligibility criteria at any time. The right to access and use the Services may be revoked at any time where these Terms and/or use of the Services is prohibited or conflicts with any applicable law, rule or regulation.

D. Birthdate On Website – Create Account:
By entering your birthdate into the create account section off the website – you legally agree that you have put the correct information of your birthday and that you are legally saying this is your age, Naturetime takes no responsibility of any kind for misinformation by a minor user, any minor who is creating an account, using the app, signing up for the app, reading the app or browsing the app that did not get approval and supervision from the parent. The birthdate on the app when filled in— states this is your legal age, and if its under 18- you must get approval to use the app and its services.

5.2 The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

5.3 The Services. You can browse and enjoy some of the Services without creating a profile or account. By connecting to the Services with a third-party service like Facebook, you give us permission to access and use your information from that service as permitted by that service, and to store your log-in credentials for that service. For more information on the types of information we collect from these third-party services, please read our Privacy Policy below.

5.4 Your Responsibility for your Apps. You are solely responsible for the activity that occurs on or through your App. We will not be liable for your losses caused by any unauthorized use of your account, and you shall be solely liable for the losses due to such unauthorized use.

5.6 Your Interaction with Other Users. You are solely responsible for your interactions with other Users. We reserve the right, but have no obligation, to monitor disputes between you and other Users. We will have no liability for your interactions with other Users, or for any User’s action or inaction.

5.7 Trespass
You agree that in connection with your use of the Products, you will not trespass on, or in any manner attempt to gain or gain access to any property or location where you do not have a right or permission to be (“Private Property”). You acknowledge that Nature Time does not have and affirmatively disclaims any obligation or ability to provide you with complete and accurate information regarding the whereabouts of Private Property you may encounter when using or in connection with your use of the Products. Regardless of whether Nature Time designates any content with a warning regarding its proximity to Private Property, you are solely responsible for obtaining all required permissions to approach or enter Private Property in connection with your use of the Products.

5.8 Disruptive and Disrespectful Use
You agree to be mindful and respectful of places you visit in connection with your use of the Products. You agree that your use of the Products will be appropriate to the environment around you and that you will not create excessive noise or other disturbances in connection with your use of the Products. You agree to act in a manner that is respectful and appropriate to the areas where you use the Products, including while interacting with other people, disposing of trash, using restroom facilities, using the Product in large groups and otherwise.

5.9 Other Illegal Use
You agree not to impersonate any other person while using the Products, conduct yourself in an offensive manner while using the Products, or use the Products for any illegal, immoral or harmful purpose.

Reporting for and Release of Liability for Product Misuse: By breaching the provisions of this Section 4, you may commit a criminal offense under applicable laws. We reserve the right, subject to our obligations under applicable privacy laws, to report any such breach to the relevant law enforcement authorities and we may cooperate with those authorities in any investigation related to your use of the Products, including by disclosing your identity to them. In the event of such a breach, your right to use the Products will cease immediately. If you have a dispute with any third party relating to your use or misuse of the Products, to the fullest extent permitted by applicable law, you hereby release the Nature Time Parties from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you also waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.

VI. DISCLAIMERS ; LIMITATION OF LIABILITY

6.1 Disclaimers; No Warranties. You understand and agree that to the maximum extent permitted by applicable law your access to and use of the Services or any Content are at your own risk. Our Services are provided to you on an “AS IS” and “AS AVAILABLE” basis, with all faults. WITHOUT LIMITING THE FOREGOING AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NATURE TIME ENTITIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Nature Time Entities make no warranty or representation and disclaim all responsibility and liability for (i) the completeness, accuracy, availability, timeliness, security, or reliability of the Services; (ii) any harm to computer systems, loss of data, or other harm that results from access to or use of the Services; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; (iv) viruses or other harmful components distributed by the Services; and (v) whether the Services will meet requirements or be available on an uninterrupted, secure, or error-free basis. We can’t guarantee continuous or secure access to the Services, and operation of the Services may be interfered with by numerous factors outside of our control. No advice or information, whether oral or written, obtained from the Nature Time Entities or through the Services will create any warranty not expressly made herein.

A. You agree that under no circumstances, we and/or our officers, employees, successors, shareholders, joint venture partners, medical community, healthcare professional or provider or anyone else working with us, using the app, its services, using the nature scheduler or other found on the app shall be liable for any direct, indirect, incidental, consequential, equitable, special, punitive, exemplary or any other damages resulting from your use of this website/web-app including but not limited to all the content, information, products, services and graphics presented here.
You expressly agree that your use of the website/web-app is at your sole risk and that you are solely responsible for the accuracy of the personal and any information you provide, outcome of your actions, personal and business results, and for all other use in connection with the website/Web-app.
You also expressly agree that we and/or our officers, employees, successors, shareholders, joint venture partners, medical community or anyone else working with us shall not be liable to you for any damages resulting from 1) any errors or omissions on the website/web-app, delay or denial of any products or services, failure of performance of any kind, interruption in the operation and your use of the website, website attacks including computer virus, hacking of information, and any other system failures; 2) any loss of income, use, data, revenue, profits, business or any goodwill related to the website; 3) any theft or unauthorized access by third party of your information from the website regardless of our negligence; and 4) any use or misuse of the information, products and/or services offered here.
This limitation of liability shall apply whether such liability arises from negligence, breach of contract, tort or any other legal theory of liability. You agree that we provide nor express or implied guarantees to you for the content presented here, and you accept that no particular results are being promised to you here.

B. The Service is controlled from its facilities in the United States. We make no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You may not use the Service if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government. Unless otherwise explicitly stated, all materials found on the Service are solely directed to individuals, companies, or other entities located in the United States.

C. YOU UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NATURE TIME ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER MEMBERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR ACCOUNT, TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF NATURE TIME ENTITIES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID OR PAYABLE TO NEXTDOOR BY YOU FOR THE SERVICES DURING THE SIX-MONTH PERIOD PRIOR TO THE ACT, OMISSION, OR OCCURRENCE GIVING RISE TO SUCH LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT OR OTHERWISE, AND WHETHER OR NOT THE PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

D. When using our app or website, please be aware of your surroundings and walk safely, In particular if you intend to hike in unfamiliar or remote areas. It is your responsibility to check the weather, bring appropriate clothing, equipment, a paper map and compass in case there is no phone signal or your battery runs out.

E. You agree that your use of the App is at your own risk, and it is your responsibility to maintain such health, liability, hazard, personal injury, medical, life, and other insurance policies as you deem reasonably necessary for any injuries that you may incur while using the Services.

F. Nature Time does not assume responsibility for the suitability of underfoot and other environmental conditions of the walking routes, programs or activities including their safety.
Nature Time does not assume responsibility for the inspection, supervision, preparation, or conduct of any race, contest, group ride or event that utilizes nature time routes, programs or activity locations.

G. You expressly agree to release Nature Time, its Affiliates, Personnel, partners and licensors (the “released parties”) from any and all liability connected with your use of the Services, and promise not to sue the released parties for any Claims, actions, injuries, damages, or losses associated with your activities. You shall indemnify the released parties from Claims arising from your use of the Services.
All Claims in respect of injury to or sickness, disease or death of any Third Party or loss of or damage to any property of any Third Party arising out of or in connection with the performance of Services or the use of our Website and App, as between Nature Time, and its Content Owner User, be borne in proportion to what their respective liabilities (if any) in the law of negligence are or would be in respect of the incident in question;

H. Nothing contained herein shall limit or exclude any liability for: (a) death or personal injury resulting from negligence; or, (b) fraud or fraudulent misrepresentation;
Nature Time shall not be liable for or in respect of: (a) any losses arising out of any event or events beyond its reasonable control; (b) any losses, business or otherwise, including (without limitation) loss of or damage to profits, income revenue, use, production, anticipated savings, business, contracts, commercial opportunities, or goodwill; (c) corruption of any data, database or software; (d) any special, indirect or consequential loss or damage

6.2 You also agree not to use the App to violate any applicable law, rule, or regulation (including but not limited to the laws of trespass), and you agree not to encourage or enable any other individual to violate any applicable law, rule, or regulation.

6.3 You agree and acknowledge that Nature Time is a limited liability company and that Nature Time has an interest in limiting the personal liability of Nature Times’s Personnel and officers, and having regard to that interest, you agree that you shall not bring Claims personally against Nature Time’s Personnel and officers in respect of any losses you suffer in connection with our Website and App, any use thereof, or this disclaimer. Notwithstanding to the aforementioned, anything contained herein shall not limit or restrict or in any way exclude the liability of the limited liability itself for the acts and omissions of Nature Time’s Personnel and officers in performing their duties for and on behalf of Nature Time.

6.4 No Liability for Conduct of Other Members. YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER MEMBERS OR OTHER USERS OF THE SERVICES. YOU UNDERSTAND THAT NATURE TIME DOES NOT MAKE ANY ATTEMPT TO VERIFY THE STATEMENTS OF MEMBERS OR OTHER USERS OF THE SERVICES. NATURE TIME MAKES NO WARRANTY THAT ANY GOODS OR SERVICES PROVIDED BY THIRD PARTIES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. NATURE TIME MAKES NO WARRANTY REGARDING THE QUALITY OF SUCH GOODS OR SERVICES, NOR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT MADE AVAILABLE BY THIRD PARTIES ON OR THROUGH THE SERVICES.

6.5 Further, in the event that you have a dispute with one or more other users of the App, you release Nature Time, its Affiliates, Personnel, officers, agents, joint ventures, and partners from all Claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

6.6 Except where prohibited by law, in no event will Nature Time LLC be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Nature Time LLC has been advised of the possibility of such damages.

6.7 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCTS AND THEIR CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THEM, INCLUDING AS TO THE ACCURACY, COMPLETENESS OR CURRENCY OF THE PRODUCTS OR THEIR CONTENT. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT OF THE PRODUCTS, OR ANY FAILURES, DELAYS, OR INTERRUPTIONS IN THE PROVISION OF THE PRODUCTS. SUBJECT ALWAYS TO YOUR STATUTORY RIGHTS, WE DISCLAIM AND EXCLUDE ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS, INCLUDING ANY WARRANTIES AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE PRODUCTS TO THE BROADEST EXTENT PERMITTED BY LAW. WE MAKE NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, AS TO THE TIMELINESS, ACCURACY, QUALITY, COMPLETENESS OR EXISTENCE OF THE CONTENT AND INFORMATION POSTED ON THE PRODUCTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, FOR TECHNICAL ACCESSIBILITY, FITNESS OR FLAWLESSNESS OF THE PRODUCTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS THAT YOUR USE OF CONTENT AND INFORMATION POSTED ON THE PRODUCTS WILL NOT INFRINGE RIGHTS OF THIRD PARTIES.

YOU ACKNOWLEDGE AND AGREE THAT NATURE TIME IS NOT LIABLE, AND YOU AGREE NOT TO SEEK TO HOLD NATURE TIME LIABLE, FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OPERATORS OF EXTERNAL SITES, THIRD PARTY PLATFORMS, OR OTHER USERS, AND THAT THE RISK OF INJURY FROM SUCH THIRD PARTIES RESTS ENTIRELY WITH YOU. CERTAIN INFORMATION, INCLUDING INFORMATION REGARDING TRAIL CONDITIONS, PARKS OR OTHER AREA TO PERFORM NATURE ACTIVITIES OR PROGRAMS HAS BEEN PROVIDED BY THIRD PARTIES, AND NATURE TIME IS NOT LIABLE FOR ANY INACCURACIES IN SUCH INFORMATION.

EXCEPT FOR NATURE TIME’S OBLIGATIONS TO PROTECT YOUR PERSONAL DATA AS SET FORTH IN NATURE TIME’S RIVACY POLICY AND UNDER APPLICABLE PRIVACY LAWS, NATURE TIME ASSUMES NO RESPONSIBILITY FOR THE TIMELINESS, DELETION, MIS-DELIVERY OR FAILURE TO STORE ANY MATERIALS (INCLUDING, BUT NOT LIMITED TO, YOUR USER MATERIALS), USER COMMUNICATIONS OR PERSONALIZATION SETTINGS.

6.8 WHEN YOU USE THE NATURE TIME PRODUCTS, YOU MAY FIND THAT ACTUAL REAL-WORLD CONDITIONS DIFFER FROM THE INFORMATION AND DATA PROVIDED THROUGH THE PRODUCTS. EXERCISE YOUR INDEPENDENT JUDGMENT AND USE THE PRODUCTS AT YOUR OWN RISK. YOU ARE RESPONSIBLE AT ALL TIMES FOR YOUR CONDUCT.

6.9 GIFTING
You may be able to purchase certain pre-paid Subscriptions for other users or potential users (“Gift Card – Subscriptions”). A user who purchases a Gift Card – Subscription (a “Giftor”) must designate a specific recipient at the time of purchase, who will receive and has the option to redeem a Gift Subscription (“Recipient”) for a Subscription to certain Products. The Initial Term of such Subscription commences on the date that the Gift Subscription is redeemed for a Subscription. All fees and charges related to Gift Subscriptions are incurred and charged as a one-time payment at the time of the Giftor’s Order of such Gift Subscription. A Giftor may specify the date on which a Gift Subscription will be delivered to the Recipient. The Giftor will receive an Order confirmation and receipt. The Gift Subscription will be sent to the Recipient on the date specified by the Giftor, and is valid to be redeemed for a Subscription during the term specified at point of purchase (the “Expiration Period”). If there was no Expiration Period specified at point of purchase or the Gift Subscription was purchased before January, 20, 2023 such Gift Subscription will not expire. A Gift Subscription can only be redeemed once, is not transferable, and may only be used in the country for which it was purchased. A Gift Subscription cannot be redeemed for cash, resold, or combined with any other offers. Our Payment Processor will charge the Payment Method provided by the Giftor at the time of purchase, and not delivery, for any Gift Subscriptions. Neither Giftor nor Recipient is eligible for any refund or other credits arising out of or related to a Gift Subscription that is not redeemed in accordance with these Terms. NATURE TIME will make commercially reasonable efforts to notify the Recipient prior to the expiration of the Gift Subscription. Please ensure that you enter the Recipient’s information accurately when purchasing a Gift Card Subscription. NATURE TIME is not responsible if a Gift Card Subscription is lost, stolen or used without permission.

 

VII. SUBSCRIPTION SERVICES

7.1 The Naturetime Web-app requires a subscription to access the Service. If a subscription for a Service is required (a “Subscription”) you will be required to enter into a Subscription agreement at the time you purchase such Subscription. Subscription requirements and fees are set forth on the Websites and and/or by other means through the Services. Features and prices are subject to change. Certain Nature Therapy Programs and participants are subject to additional fees that are separate from the Subscription fees, and are not required to have a Subscription. When you purchase a Subscription, you will be required to provide us with some information about yourself, such as your e-mail address or other contact information, birthday, zip code and information regarding a minor ( ages 13-17) if your signing up a minor ( 13-17) to the app. You agree that the information you provide to us is accurate and that you will keep it accurate and up to date at all times. We reserve the right to suspend or terminate your Subscription, without any refunds or credits, if we determine that your account information is incorrect, false or otherwise not up to date.

A. By signing up to the app you accept full responsibility for your own health and well-being and you acknowledge an understanding that no responsibility is assumed by the Naturetime or any other related party. Naturetime and other related parties are released from any liability now or in the future for conditions that may result from participation in any program including but not limited to: heat attacks, muscle strains, muscle pulls, muscle tears, broken bones, shin splints, heat exhaustion, injuries to knees, injuries to back, injuries to feet, or any other illness or soreness that may occur, including death.

B. By subscribing to either ‘Monthly Subscription’ or ‘Yearly Subscription’ you are agreeing for payment of subscription and any taxes relevant to you to be taken automatically from the payment source you have provided for the subscription period selected through your Credit Card, Pay Pal or Apple Pay. You must be the bill payer or have their permission to authorize subscription payments to Nature Time

C. The fee for a Subscription is billed at the start of the Initial Term and subject to automatic renewal. By providing our Payment Processor or the App Store or other marketplace from which you purchase a Subscription with your Payment Method, you acknowledge and agree that our Payment Processor and/or such App Store or marketplace, as applicable are authorized to charge your Payment Method for all charges due and payable under your Member Account, including:
Paid Subscriptions automatically renew until cancelled. We will notify you if the price of a Paid Subscription increases and, if required, seek your consent to continue. If you do not agree with the changes to Nature Time’s pricing terms then you may choose not to renew your Subscription. You will be charged no more than 24 hours prior to the start of the latest Paid Subscription period. Certain Paid Subscriptions may offer a free trial prior to charging your payment method. If you decide to unsubscribe from a Paid Subscription before we start charging your payment method, cancel the auto renew subscription- in the menu bar- subscriptions and cancel and also via the email subscription sent or email- [email protected]

Payment, Refunds, Upgrading and Downgrading Terms
The service is subscription based- opt in, and all payments for the service are non-refundable. There will be no refunds or credits for partial months of service, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.

You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the Subscription Account tab in your settings area. The Account screen provides a simple no questions asked cancellation link.

7.2 You will not receive a refund for the fees you already paid for your current subscription period and you will continue to receive the Services ordered until the end of your current Subscription period.

7.3 Right of cancellation: Simply Do not Renew Subscription or cancel Subscription prior to renewal, via the app menu bar- subscription and via email- [email protected]. — in subject write: Cancel. / Do Not Renew Subscription

7.4 Nature Time reserves the right to not process or to cancel your order in certain circumstances, for example, if your credit card is declined, if we suspect the request or order is fraudulent, or in other circumstances Nature Time deems appropriate in its sole discretion.

7.5. Prices in US Dollars. You agree not to hold us responsible for banking charges incurred due to payments on your account. If payment is not received by us from the Payment Method you provided, you agree to pay all amounts due upon demand by us.

7.6 Free Trials and Other Promotions
Certain Subscription offerings may be available on a free trial or other promotional basis (a “Promotional Offer”), the period of which will be communicated to you via the Products. Unless otherwise expressly set forth, your use of any such Subscription will expire at the end of the Promotional Offer period, and any further use of such Products is prohibited unless you purchase a Subscription to such Products. To the extent expressly indicated at the time of signing up for a Promotional Offer, your Promotional Offer may automatically convert to a paid Subscription and your Payment Method will be charged for the applicable Subscription at the expiration of your Promotional Offer unless you cancel the Subscription in accordance with Section 3.4(f) before the Promotional Offer ends. If you fail to cancel the Subscription before the Promotional Offer ends, you will be responsible for payment for the full term of the Subscription period. Unless otherwise expressly stated, any Promotional Offer must be used within the specified time of such promotion. Any promotion code or offer provided by us may not be used in conjunction with any other promotion code or offer, past or present. Unless otherwise set forth in the terms of any promotion, all pricing promotions or discounts will apply to the Initial Term, and any renewals will be charged at the rate in effect at the time of renewal for the type of Subscription purchased.
Our multi-year Subscriptions are paid for by an upfront one-time payment

7.7 Payment processing for the Products will be performed by one of Nature Time’s third-party payment processors (such processors collectively, “Payment Processor”). Your use of the payment processing provided by the Payment Processor may be subject to additional terms, as provided by the Payment Processor processing your respective transaction and as may be modified by such Payment Processor from time to time (collectively, the “Payment Processor Agreement”). As a condition of using the Payment Processor’s payment processing, you must provide accurate and complete information in connection with such payment processing, and you authorize us to share this information with the Payment Processor and to charge your Payment Method for all amounts that may become due under this Agreement. All bank, credit card, debit card or other payment information is sent directly too and stored by the Payment Processor using its security protocols. Nature Time does not store your payment information on its systems and shall not have any responsibility for the safety or security of that information. Your use of the Payment Processor’s payment processing is conditioned upon your compliance with the Payment Processor Agreement, and if the Payment Processor Agreement is terminated by the Payment Processor, you may not be able to purchase a Subscription or you may have your use of the Products suspended or terminated. We may change or add other payment processing services at any time upon notice to you, which may be subject to additional terms or conditions.

7.8 We offer a subscription fee-based program, which gives you access to our Products for which access and use
is purchased on a time-limited basis (each, a “Subscription”).
You can purchase a Subscription through the Website or within the Apps in accordance with the functionality of such Products. PLEASE NOTE THAT ALL SUBSCRIPTIONS PURCHASED THROUGH THE APPLE PAY, GOOGLE PLAY STORE, OR OTHERWISE THROUGH THE FUNCTIONALITY OF OUR APPS (EACH, A “DISTRIBUTION CHANNEL”) ARE GOVERNED BY THE TERMS OF SUCH DISTRIBUTION CHANNEL, AND ANY REFUND REQUEST MUST BE ADDRESSED TO THE RELEVANT DISTRIBUTION CHANNEL. You agree to immediately notify us and/or the applicable Distribution Channel of any change in your billing address or other payment information. Your Payment Method agreement governs your use of the designated Payment Method, and you must refer to that agreement to determine your rights and liabilities thereunder. These Terms are between you and Nature Time only, and not with the applicable Distribution Channel or any other third parties. To the extent that you utilize any other third party products and services in connection with your use of the Products, you agree to comply with all applicable terms of any agreement for such third party products and services. In no event will Nature Time be responsible for the actions or inactions of any third party, including any Distribution Channel, Payment Processor, or Payment Method, including but not limited to system downtime or payment service outages, and any billing or fee disputes related thereto are between you and such Distribution Channel, Payment Processor, or Payment Method.

VIII. SUBMISSIONS

8.1 You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information to or regarding the Site (“Submissions”) provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral or other intellectual property rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

8.2 CONTENT

RIGHTS YOU GRANT
a. Generally. Some areas of the Services allow users to post, publish, submit, upload, transmit, or otherwise make available on the Services content such as profile pictures or information, photos, images, music, videos, information, comments, likes, recommendations, questions, messages, and other content or information (“Content”) (any such Content that a user does make available or submit is referred to as “user Content”). You retain ownership of your user Content.

b. License Grant to Nature Time. You hereby grant to Nature Time a non-exclusive, transferable, fully sub-licensable (through multiple-tiers), royalty-free, and worldwide license, to host, use, distribute, modify, copy, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of your user Content. We will exercise our rights in the foregoing license subject to your Account settings, the selections you make when posting your user Content, and as otherwise described in our Privacy Policy

c. All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, artwork and computer code (collectively, “Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Nature Time LLC, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.
Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including “mirroring”) to any other computer, server, Web site or other medium for publication or distribution or for any commercial enterprise, without Nature Time’s express prior written consent.

8.3 Contributing Content;
when an agreement or contract has been signed with Nature Time and another entity, person, company or other- the agreement terms on that contract in regards to ownership of content, use of content, anything related to content provided to Nature Time- will follow a similar agreement to the “use of content” with both parties, with a Consistent Agreement that states: Material/ Content Provided to Nature Time Can be used or not used at Nature Time’s discretion, for as long as needed or desired and shall not be returned, or asked to be removed at any time.
However as stated, the Use of any content or Material provided to Nature Time that is being used by the other Parties within the contract and want to use the same content/ material provided to Nature Time and use it Outside of the Nature Time Web-app, or website; another words; the entity/ company/ person or other that is providing certain content / material – might have the ability, legal use, permission or other between both parties whereby the contract signed between these parties; has various types of agreements; where one party might be allowed to use the same content they provided to Nature Time, they might have permission to use it anywhere else they please, and it may or may not be required to have changed the format, image, some content so it slightly differs from the same content provided to Nature Time, whereby another company / entity/ person/ person’s or other who is in signed contract/ agreement with Nature Time might not have the same type of permission for use of content- outside of the Nature Time app- they might not have permission to use the same content anywhere else or they might get a specific set of places they can provide same content, outside of Nature Time Web-app/ App/ Site.

The purpose of having the regulated content to allow the same content to be not allowed to be used elsewhere, unless stated otherwise in an agreement or contract outside this terms of use, is to keep the content on the app unique, so the same content being provided to Nature Time by an entity, company, person, person’s, or other, will not be seen all over the place, in many other apps, sites, social media as the users of the app will not find the app’s content unique and since Nature Time is subscription based, not free, Any Content Provided to Nature Time to use on the App, we want to keep it interesting, worthy reading and informative; therefore as stated- each contract is different on its own terms , therefore any contributing content company / entity/ person or other that Nature Time has gone into contract with, being a paid contract, freelance contract, commission or other, has its own terms of how the content can be used – if they have permission to use the same content provided to Nature Time, elsewhere or not, with variations- which all follow the specific contract between both parties at hand. Some agreements / contract allows the “party” providing content to Nature Time to be used in social media while tagging Nature Time as we see it also as Great Marketing, however we follow the agreement/ contract signed with both parties to decide on wether or not the same content provided to Nature Time; can or cannot be used elsewhere- generally we ask for it to differ a-bit- as stated above- maybe image, color, font, format, certain information, or other.
No Matter any contract terms between both parties- as stated here- and in all Contracts – Nature Time has the right to use as needed/desired for as long as needed or desired any content that is provided to Nature Time by an entity/ company/ person/ person’s or other, with no legal requirement to remove or return any content provided at any time.

VIIII. CONTRIBUTION LICENSE

9.1 You and the Site/ app agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings).
By submitting Contributions to or regarding the Site, you agree that we can use and share such Contributions for any purpose without restriction, and without compensation to you. We do not waive any rights to use similar or related comments, ideas or feedback previously known to us, developed by us, or obtained from sources other than you.
We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate, old harmless, and indemnify us from and against any and all responsibility and to refrain from any legal action against us regarding your Contributions.

X. INDEMNIFICATION

10.1 You agree to indemnify and hold the Company and/or its officers, employees, successors, shareholders, joint venture partners or anyone else working with us harmless from all losses, claims, damages, demands, actions, suits, proceedings or judgments, including costs, expenses and reasonable attorneys’ fees (“Liabilities”) assessed against or otherwise incurred by you arising, in whole or in part, from: (a) actions or omissions, whether done negligently or otherwise, by you, your agents, directors, officers, employees or representatives; (b) all your actions and use of our websites including purchasing programs, products and services; (c) violation of any laws, rules, regulations or ordinances by you; or (d) violation of any terms and conditions of this website by you or anyone related to you; e) infringement by you or any other user of your account of any intellectual property or other rights of anyone. The company will notify you promptly of any such claims or liability and reserves the right to defend such claim, liability or damage at your expense. You shall fully cooperate and provide assistance to us if requested, without any cost, to defend any such claims.

10. 2 Violation of These Terms of Use

a. Prohibited Conduct. Without limiting other restrictions contained in these Terms, you agree that you will not, under any circumstances (i) gain or attempt to gain unauthorized access to any part of the Services, including the Accounts of other users (such through the use of bots or other automations as well as the unauthorized use of legitimate Member/user credentials); (ii) interfere with, disrupt, or damage our Services or attempt to do the same (such as by posting viruses, instigating a denial of service attack, or spamming Members); (iii) attempt to gain access to or tamper with non-public areas of the Services, our computer systems, and any technical delivery systems of our providers; (iv) attempt to prove, scan, or test the vulnerability of our systems, networks, or Services, or breach any security or authentication measure; (v) conduct facial recognition or other biometric analysis of the Content (as defined below) posted on Nature Time; (vi) develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins, and add-ons or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services; (vii) licensing, selling, transferring, assigning, distributing, hosting, or otherwise commercially exploiting the Services or Content; (viii) modifying, preparing derivative works of, disassembling, decompiling, reverse engineering or circumventing any security or authentication measures of any part of the Services or Content; (ix) accessing the Services or Content in order to build a similar or competitive website, product, or service, or (x) otherwise access or use the Services in an unlawful or unanticipated manner. For clarity, any attempt to engage in any of the behaviors listed in this section is also prohibited.

b. Disputes Between Users; Waiver of Claims Against Nature Time. In the real world and online, people sometimes disagree. If you have a dispute with another user, we hope that you will be able to work it out amicably. However, if you can’t, please understand that Nature Time is not responsible for the actions of our users. Each of our users is solely responsible for their own actions and behavior, whether they are using Nature Time or chatting with a user anywhere. Accordingly, you agree that Nature Time has no responsibility for the conduct of users or other third parties and, to the maximum extent permitted by applicable law, you hereby release the Nature Time Entities from losses, liabilities, claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes involving you and other Members.

c. Community Moderation. Some users re provided with additional account features to use to support their company; including moderation tools, groups, profiles . WE ARE NOT RESPONSIBLE FOR THE ACTIONS TAKEN BY THESE USERS WHILE USING THESE ACCOUNT FEATURES. We reserve the right to overturn any action taken by these users if we, in our sole discretion, believe that such action is not in the interest of Nature Time. We reserve the right to revoke or limit a user’s access to these tools at any time, with or without notice, for any reason or no reason, including for a breach of these Terms or any relevant policies or guidelines. If you are given access to these additional account features, including Groups/ profile or other tools, then:

-You agree that you are taking all actions related to community moderation on a volunteer basis and are not an employee or contractor of Nature Time
-You may not represent that you are authorized to act on behalf of Nature Time
-You may not enter into any agreement with a third party on behalf of Nature Time
-You may not perform moderation actions in return for any form of compensation, consideration, gift, or favor from third parties; and
– If you have access to any non-public information through these account features, then you will use such information only in connection with your role.

d. Engaging Other Users.

Nature Time does not interview, run background checks on, monitor, supervise, direct or control Users. In addition, the use of Nature Time – Groups /Create groups / profile or any similar feature, does not make us an employer, placement agency, representative, or agent of or for you or any other user, service provider, and you acknowledge and agree that no such relationship is intended or created by these Terms or your use of the Services. If you and another User decide to work together, the two of you, and not Nature Time are solely responsible for complying with any applicable laws, such as tax and employment laws. Users are not independent contractors, employees, joint venturers, franchisees, or service providers to or for Nature Time.

e. Nature Time may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Nature Time LLC rights or property, or the rights or property of visitors to or users of the Site, including Nature Time LLC’s customers. Nature Time LLC reserves the right at all times to disclose any information that Nature Time LLC deems necessary to comply with any applicable law, regulation, legal process or governmental request. Nature Time LLC also may disclose your information when Nature Time LLC determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.
You acknowledge and agree that Nature Time LLC may preserve any transmittal or communication by you with Nature Time LLC through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Nature Time LLC determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Nature Time LLC, its employees, users of or visitors to the Site, and the public.

f. You agree that Nature Time may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Nature Time LLC, for which monetary damages would be inadequate, and you consent to Nature Time LLC obtaining any injunctive or equitable relief that Nature Time LLC deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Nature TimeLLC may have at law or in equity.
You agree that Nature Time LLC may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.
If Nature Time LLC does take any legal action against you as a result of your violation of these Terms of Use, Nature Time LLC will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Nature Time LLC. You agree that Nature Time LLC will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

XI. NO WARRANTIES

11.1. Service Disclaimer. The information contained in the Services is for general information purposes only. All Content, Information, Products And/Or Services On The Website/Web-app and Nature Prescription Are “As Is” And “As Available” Basis Without Any Representations Or Warranties Of Any Kind Including The Warranties Of Merchantability Or Fitness For Any Purpose, Express Or Implied To The Full Extent Permissible By Law.
While we try to keep the information up-to-date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the Services or the information contained on the Services for any purpose. Any reliance you place on such information is therefore strictly at your own risk.
Naturetime Company Makes No Representations Or Warranties As To The Content, Information, Materials, Products And/Or Services Provided On This Website/Web-app. Naturetime Company Makes No Warranties That The Website /Web-app Will Perform Or Operate To Meet Your Requirements Or That The Information Presented Here Will Be Complete, Current Or Error-Free. Naturetime Company Disclaims All Warranties, Implied And Express For Any Purpose To The Full Extent Permitted By Law.

11.2 You agree not to hold the the Naturetime app, its owners, investors, partners, doctors, content contributors, contributors, interns, Organizer, Assistant Organizers, or any other members responsible for any injuries, mishaps, or any other situation that may happen to you or anyone with you.
You are responsible to research the activity, know the area you decide to practice any suggested activity and bring the proper gear as needed.
Naturetime does not provide liability insurance for the protection of individuals who may participate in any of the activities, events or other suggested on the app, nature scheduler or virtual or in person planned events.
This release extends and applies too, and also covers and includes, all unknown, unforeseen, unanticipated and unsuspected injuries, damages, loss and liability.
When you sign up/ register for the app, or simply read anything open the app during its 1 day free trial signifies that you have read and accept the terms of this liability waiver and all terms written in the terms & conditions policy in the app.

11.3 By creating an account/ signing up/ registering/ becoming a subscriber for the Naturetime app you understand that you doing everything AT YOUR OWN RISK. ( any suggested or not suggested activities, practices, or other on the app).
The Medical community / Healthcare Proffesionals/ providers that are using the Nature Scheduler on the app to make suggestions to their patients/ clients/ individuals or other for activities , duration, days, or other found on the Nature Scheduler in the nature time app – is informational and educational, not to be taken in any other way, nor is anyone responsible for any actions anyone takes, activities or programs found on the app anyone decides to engage with –
As a Nature Time App user / subscriber- agree to all terms of use and medical disclaimer found here in the entirety of terms of use , privacy policy and medical disclaimer.

Anyone using the app can; Use, Send, Receive, Engage and Enjoy the Nature Time Scheduler, while taking full responsibility for their own actions without placing any responsibility of any kind on Nature Time or anyone using the Nature Time Scheduler, as its purpose is to Schedule Time with Nature, whereby other users using the app might suggest and create a nature scheduler for someone else and send it to them – all parties take their own risk, responsibility of every single kind imaginable – no one is responsible for anyone else using the Nature Time App- Once you sign up/ register/ subscribe to the app and use anything on the app; use, create, read, send, receive the nature scheduler, you take full responsibility of your actions as stated in these terms of use, no one else will be responsible for anyone else’s actions.
As a Nature Time App Subscriber – agree to all terms of use, privacy policy and medical disclaimer found here in the entirety of terms of use and medical disclaimer.

XII. MESSAGING

12.1 We may allow you to send messages through our Service to other Users or to third parties (“Messages”). We may send administrative messages to you and other Users.
If we set up a corporate service/ corporate contract with you- the terms of messaging within the app might change if the party Nature Time went into contract with decides to use the Feature called: “Groups”- in this case- Nature Time Takes No responsibility of any kind, as Nature Time does not handle any thing regarding to the Feature: groups, its your responsibility, you handle everything in the “groups”, you make the rules if you want your company/ employees or other to “message” each other on the app, Nature Time just provides the service, unless the contract between both parties may state or agreed to other terms for the feature “groups” in regard to messaging.

12. 2 – YOUR USE OF THE SITE
You may not use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. Nature Time reserves the right to bar any such activity.
You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any server, or to any of the services offered on or through the Site, by hacking, password “mining” or any other illegitimate means.

12.3 You may not probe, scan or test the vulnerability off the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of Nature Time LLC, including any Nature Time LLC account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.
You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Nature Time’s systems or networks, or any systems or networks connected to the Site or to Nature Time

12. 4 You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.
You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to Nature Time LLC on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.
You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Nature Time or others.

12.5 NOTIFICATION PREFERENCES.

a. Notifications. By default, you will only receive a notification from Nature time related to your use of and interactions with the Services within the Services, to the email address to which your Account is linked, and on your device or browser. You can change your preferences about receiving messages from Nature Time and customize your default notifications in your preference settings- found in the Menu Bar. You can use these preference settings to unsubscribe to specific notification types by email or In- app Notification. The only Notification that is ON By Default is the Nature Time Scheduler Form- if you do not want to receive Notifications that you may have received a Nature Time Scheduler Form from someone- you can turn off this Notification at your Convenience.

b. Invitations. You can use our Services to send individuals who are not users invitations, such as by post mail, email, or text message, to register for the Services (“Invitations”). You acknowledge that these Invitations, which we may help to facilitate through our Services, are sent by you and not by Nature Time, For example, you may invite your colleagues to Nature Time by requesting to have us send to them an Invitation, which may include your name. You acknowledge that certain third-party fees, such as those from your mobile carrier or Internet service provider, may apply to the use and operation of your device in connection with your sending an Invitation and that you are solely responsible for any such third-party fees.

 

XIII. PRIVACY

13.1 We care about the privacy of our Users. You understand that by using the Service you consent to the collection, use and disclosure of your personally identifiable information and aggregate data as set forth in our Privacy Policy below, and to have your Personally Identifiable Information collected, used, transferred to and processed in the United States. We cannot guarantee that unauthorized third parties will never be able to defeat our security measures. You acknowledge that you provide your information at your own risk.

Because we have no control over such sites and resources, you acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource. You understand that these Terms of Service and our Privacy Policy do not apply to your use of such sites. We encourage you to be aware of when you leave the Service, and to read the terms and conditions and privacy policy of any third-party website or service that you visit.

14.2. Your Responsibility for Your Content. By uploading, posting, submitting or otherwise disclosing or distributing User Content, you represent and warrant that you own all rights in your User Content and that any User Content you post does not and will not violate third-party rights of any kind, including without limitation any Intellectual Property Rights (defined below) or rights of publicity or privacy. We reserve the right, but are not obligated, to reject and/or remove any User Content that we believe, in our sole discretion, violates these provisions. We take no responsibility and assume no liability for any User Content that you or any other Users or third parties post or send over the Service. You understand and agree that any loss or damage of any kind that occurs as a result of the use of any User Content that you send, upload, download, stream, post, transmit, display, or otherwise make available or access through your use of the Service, is solely your responsibility, and you agree that we are only acting as a passive conduit for your online distribution and publication of your User Content. We are not responsible for any public display or misuse of your User Content.

XIIIII. MISCELLANEOUS

15. 1 You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.
If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between you and Nature Time LLC with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and Nature Time LLC with respect to such use are hereby superseded and cancelled. Nature Time LLC will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected. Nature Time LLC’s failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by Nature Time LLC and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

15.2. LOCATION-BASED SERVICES
If you enable location-based services on your computer or mobile device in connection with your use of the Online Services, you expressly consent to PRA collecting the geolocation (which may include specific longitude and latitude) of your device. This information will be used as set forth in our Privacy Policy, including to locate nearby parks and to provide specific messages based on your location. Please see our Privacy Policy for further information and for details on how to opt-out of location information collection.

15.3. Force Majeure.
We will not be liable to you for any lack of performance, or the unavailability or failure, of the Services, or for any failure or delay by us to comply with these Terms, where such lack, unavailability or failure arises from any cause beyond our reasonable control. Causes beyond the party’s reasonable control and not caused by that party’s fault, or negligence, include, but are not limited to, “acts of God”, epidemic, pandemic, acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, computer attacks or malicious acts, such as attacks on or through the internet, any internet service provider, telecommunications or hosting facility, but in each case, only if and to the extent that the non-performing Party is without fault in causing such failure or delay, and the failure or delay could not have been prevented by reasonable precautions and measures and cannot reasonably be circumvented by the non-conforming Party through the use of alternate sources, workaround plans, disaster recovery, business continuity measures or other means. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.

15.4. CONTRIBUTION LICENSE
You and the Site agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings).
By submitting Contributions to or regarding the Site, you agree that we can use and share such Contributions for any purpose without restriction, and without compensation to you. We do not waive any rights to use similar or related comments, ideas or feedback previously known to us, developed by us, or obtained from sources other than you.
We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate, old harmless, and indemnify us from and against any and all responsibility and to refrain from any legal action against us regarding your Contributions.

15.5. APPLICABLE LAW
These Terms constitute a contract made solely over the Internet and you agree that the laws of the USA without regard to principles of conflict of laws, will govern these Terms and any claim or dispute that has arisen or may arise between you and Nature Time LLC relating to use of any aspect of the Online Services.

15.6. ENTIRE AGREEMENT
These Terms of Service and the terms and conditions incorporated in these Terms of Service by reference are the entire agreement between you and Nature Time.

15.7. SEVERABILITY
Except as provided in the Arbitration provisions above, if any provision of these Terms is unenforceable, the validity and enforceability of the remaining provisions will not be affected.

WAIVER- If we delay exercising or fail to exercise or enforce any right available to us under these Terms, such delay or failure does not constitute a waiver of that right or any other rights under these Terms.
Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of these Terms.

15.8 GROUPS
Users may create or join groups on the Service in order to send messages to other Group members (a “Group”) or other features offered in the groups- Naturetime opens Access to Groups only once an agreement between Naturetime and The Company or entity or other has been made.
The Groups feature on the app is not open to the public.
Once Naturetime has an agreement/ contract with a company to use the Naturetime web app for its employees, medical community, school or other— only then is this “party” given access to use the ‘groups” features on the app, in now other times is the groups allowed to be accessed and is closed to the public.

15.9 DELETION OF USER ACCOUNT
Either upon User’s request or by suspension
Suspension. Nature Time shall reserve the right to suspend any User account, either temporarily or permanently, either on its own initiatives or upon report of potential infringement or due to posting of unlawful Content or when there is evidence of an account being hacked. Nature Time shall notify the affected User of the suspension. In the event of account deactivation due to such account being hacked, we shall re-activate your account as soon as the issues are rectified;
Deletion. Any User who has a User account with us can request the deletion/termination of your User account by sending an email to us at [email protected] or by using the delete request function in the menu bar/ settings area of the app ; An account deletion shall be subject to any prevailing legal requirements to retain information. Please note, if you have supplied us a valid email address you will be notified when this has been actioned.

15.8. USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms of Use; (2) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site; (3) you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise; (4) you will not use the Site for any illegal or unauthorized purpose; and (5) your use of the Site will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

15.9. Governing Law ; Dispute Resolution
The terms and conditions and the use of the website shall be governed by American Law. All claims or disputes arising out of or in connection with this site shall be subject to the jurisdiction of the courts of The USA
You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and by the laws of the State of NY without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in New York and waive any objection to such jurisdiction or venue.

Void Where Prohibited
Although the Site is accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Site are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. Nature Time LLC reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.
